  • advising on the options for joining together whether by collaboration, strategic alliances, shared services arrangements, mergers or acquisitions or other arrangements based on the desired outcomes of the organisations
  • outlining the legal issues to be considered in determining whether to effect a merger
  • advising on the steps of such merger process and on legal and other issues during the negotiation process
  • preparing the documentation required to effect a formal merger
  • assisting you to respond to and carry out legal due diligence
  • advising charities or other organisations who provide community-based support services to persons with mental and physical disabilities in relation to a transition plan to address a governance structure to satisfy both merger parties

  • Successfully effecting an amalgamation of a charity with a state-based structure to amalgamate into one national body, including advising in relation to the tax, regulatory and corporate governance issues and structural options.
  • Advising on and effecting a merger of two large benevolent institutions that provide support services to persons with mental disabilities and with complex funding arrangements to combine their resources and to strengthen and grow the services they provide.
  • Advising a large charity in relation to its merger options for acquiring a smaller charity and effecting such an acquisition.
  • Advising a school in relation to the various merger options, taking into account their future business model, control issues, timing, complexity and costs.
  • Advising a faith-based school on the provision of education services by an external provider.
  • Advising an international aid charity on a collaboration between a donor and an international implementation partner.
  • Advising an education charity in relation to contract terms and conditions for a conference.
